Terms of Service

Rules for using Melodex Studio.

These Terms govern your access to and use of Melodex. Please read them carefully.

1. Overview of the Service

Melodex is an AI-native music production application that allows creators to compose, arrange, edit, and produce music using natural language prompts. The Service uses artificial intelligence to interpret your instructions and generate structured music data, which is then rendered and played back locally on your device. The Service includes, but is not limited to: The Melodex desktop and web application. Cloud-based project storage and synchronisation. AI-powered music generation and editing tools. Export functionality for audio, MIDI, and stems. Any future features, updates, or extensions we release. Melodex is designed for creative and professional use. It is not intended to be used in any safety-critical or mission-critical environment.

2. Eligibility

To use Melodex, you must meet all of the following requirements:

By using the Service, you represent and warrant that you satisfy all applicable eligibility requirements. Melodex reserves the right to terminate accounts that do not meet these requirements, without prior notice.

3. Your Account

3a. Account Creation

To access most features of Melodex, you must create an account by providing a valid email address and choosing a secure password. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

3b. Account Security

You are solely responsible for: Maintaining the confidentiality of your login credentials. All activity that occurs under your account, whether or not authorised by you. Immediately notifying us at support@melodexstudio.com if you suspect any unauthorised access to or use of your account.

Do not share your password with anyone. Melodex staff will never ask for your password. Use a strong, unique password and consider enabling two-factor authentication where available.

3c. Account Suspension and Termination

We reserve the right to suspend, restrict, or permanently terminate your account at our sole discretion if we reasonably believe that: You have violated any provision of these Terms. Your account activity poses a security risk to the platform or to other users. You have provided false or misleading information during registration. We are required to do so by applicable law or a regulatory authority. Where practicable, we will notify you before taking action and give you an opportunity to respond. In cases involving serious violations or security threats, we may act immediately without prior notice.

4. Your Content and Ownership

4a. Your Ownership Rights

You retain full, exclusive ownership of all content you create using Melodex. This includes, without limitation: All music compositions and arrangements you create or edit. Music project files (.musicproj format) and associated metadata. MIDI data, track configurations, and stems. Exported audio files in any format. Any other creative work produced through your use of the Service.

  • Melodex makes no claim to ownership of your creative work. Your music is yours — now, and always.

4b. Licence You Grant to Melodex

In order to provide the Service to you, you grant Melodex a limited, non-exclusive, royalty-free, worldwide licence to: Receive, transmit, and process your prompts and project data for the purpose of music generation. Store, backup, and synchronise your projects to enable cross-device access. Display your content within the application interface as you use it. This licence is granted solely for the purpose of operating and improving the Service as used by you.

Specifically, this licence does not permit Melodex to: Use your content for advertising or marketing without your explicit consent. Share your content with third parties except as described in our Privacy Policy. Train AI models on your prompts, projects, or outputs. Claim any intellectual property rights over your creations. This licence terminates automatically when you delete your content or close your account, subject to the data retention terms described in our Privacy Policy.

4c. Your Representations Regarding Content

By uploading or creating content using Melodex, you represent and warrant that: You own or have all necessary rights, licences, and permissions to use the content. Your content does not infringe the intellectual property rights, privacy rights, or other legal rights of any third party. Your content does not violate any applicable law or these Terms. You are solely responsible for your content and any consequences of uploading, generating, or sharing it.

5. AI-Generated Content

Melodex uses advanced AI models to generate and modify music based on your prompts. By using these features, you acknowledge and accept the following:

Outputs may contain errorsAI-generated music may contain unexpected results, artefacts, or imperfections. Always review outputs before use.

We recommend consulting a legal professional if you intend to commercially release, register copyright in, or license AI-generated music. Laws governing AI-generated content vary significantly by jurisdiction and are subject to rapid change.

6. Acceptable Use Policy

Melodex is built to empower creators. To protect our platform and community, you agree to use the Service only for lawful, legitimate creative purposes and to comply with all applicable laws and regulations.

6a. Prohibited Activities

You must NOT use Melodex to:

  • Generate, upload, or distribute content that infringes the copyright, trademark, or other intellectual property rights of any third party.
  • Create, share, or distribute content that is unlawful, defamatory, threatening, harassing, obscene, or otherwise objectionable.
  • Produce content that promotes or facilitates violence, terrorism, hate speech, or discrimination based on race, ethnicity, religion, gender, sexual orientation, disability, or any other protected characteristic.
  • Violate any applicable local, national, or international law or regulation.
  • Impersonate any person or entity, or falsely represent your affiliation with a person or entity.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or algorithms of the Service.
  • Circumvent, disable, or interfere with any security, authentication, or access-control measures.
  • Use automated scripts, bots, or crawlers to access the Service in a manner that places excessive load on our infrastructure.
  • Abuse or overwhelm the AI generation system in a way that degrades the experience for other users.
  • Sell, resell, or sub-license access to the Service without our express written permission.
  • Use the Service to develop or train a competing AI model or music generation system.

6b. Consequences of Misuse

Violation of this Acceptable Use Policy may result in, at our sole discretion: Immediate suspension or permanent termination of your account. Removal of content that violates these Terms. Reporting of unlawful activity to relevant law enforcement authorities. Legal action to recover damages or obtain injunctive relief.

We take misuse seriously. Any account found to be generating content that infringes intellectual property rights or that violates applicable law will be suspended pending investigation and may be permanently terminated.

7. Paid Plans and Billing

7a. Subscription Plans

Melodex offers both free and paid subscription plans. Paid plans provide access to additional features, higher generation limits, and priority support. Details of available plans and their current pricing are described on our website and within the application.

7b. Billing and Payment

Paid subscriptions are billed on a recurring basis, either monthly or annually, depending on the plan you select. All payments are processed securely by third-party payment providers (such as Stripe). Melodex does not store your full payment card details. By subscribing, you authorise Melodex to charge the applicable fees to your chosen payment method on each billing cycle. You are responsible for ensuring your payment method remains valid and up to date. Failure to maintain a valid payment method may result in suspension of access to paid features. All prices are quoted exclusive of applicable taxes (e.g., VAT, GST) unless stated otherwise. You are responsible for any applicable taxes.

7c. Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation: You will retain access to paid features until the end of your current billing period. You will not be charged for subsequent billing periods. Cancellation does not entitle you to a refund for the current billing period except as described in Section 7d.

7d. Refunds

Subscription fees are generally non-refundable. Exceptions include: Refunds required by applicable consumer protection law (e.g., statutory cooling-off periods in the EU or UK). Cases where Melodex has materially failed to deliver the subscribed service due to our error or a prolonged outage directly attributable to Melodex. To request a refund, contact us at support@melodexstudio.com with details of your request. We will review all refund requests on a case-by-case basis and respond within 10 business days.

7e. Price Changes

We reserve the right to change subscription pricing at any time. If we increase the price of your current plan, we will provide at least 30 days' advance notice by email and/or in-app notification. Your continued use of the paid plan after the effective date of the price change constitutes your acceptance of the new pricing. If you do not accept the new price, you may cancel your subscription before the change takes effect.

8. Termination

8a. Termination by You

You may stop using Melodex and close your account at any time, for any reason, without penalty. To close your account, use the account deletion option in your settings or contact us at support@melodexstudio.com. Upon account closure, your data will be handled in accordance with our Privacy Policy.

8b. Termination by Melodex

We may suspend or permanently terminate your access to the Service, with or without notice, if: You breach any provision of these Terms, including the Acceptable Use Policy. Your use of the Service creates legal, regulatory, reputational, or security risk for Melodex or its users. We receive a valid legal order requiring us to do so. We discontinue the Service in whole or in part. Where reasonably practicable and not prohibited by law, we will notify you of the reason for termination.

8c. Effect of Termination

Upon termination of your account, whether by you or by Melodex: Your right to access and use the Service will cease immediately. Your stored projects and data will be deleted in accordance with the timelines set out in our Privacy Policy. Any provisions of these Terms that by their nature should survive termination (including Sections 4, 5, 10, and 11) will continue to apply.

9. Service Availability and Disclaimer of Warranties

We work hard to ensure Melodex is fast, reliable, and available when you need it. However, we cannot guarantee uninterrupted or error-free operation of the Service.

9a. Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MELODEX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: Implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Warranties that the Service will meet your specific requirements. Warranties that the Service will be uninterrupted, timely, secure, or error-free. Warranties regarding the accuracy, reliability, or completeness of any content generated by or through the Service.

9b. Planned and Unplanned Downtime

We may schedule maintenance windows to update or improve the Service. We will endeavour to provide advance notice of planned downtime where practicable. Unplanned outages may occur due to factors outside our control, including third-party infrastructure failures, cyberattacks, or force majeure events.

We recommend regularly exporting and backing up your music projects locally. While we maintain cloud backups, you should not rely solely on Melodex cloud storage as your only copy of important work.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MELODEX STUDIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, OR SERVICE PROVIDERS BE LIABLE TO YOU FOR:

  • Any indirect, incidental, special, consequential, punitive, or exemplary damages.
  • Loss of profits, revenue, goodwill, data, projects, or business opportunities.
  • Damages arising from your reliance on AI-generated content, including any claims of copyright infringement by third parties.
  • Loss or corruption of your music projects or stored data, however caused.
  • Interruption or unavailability of the Service.
  • Any other damages arising from your use of, or inability to use, the Service.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. IN ALL CASES, MELODEX'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO MELODEX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED US DOLLARS (USD $100).

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. If you are located in such a jurisdiction, some of the above limitations may not apply to you.

11. Melodex Intellectual Property

All intellectual property rights in the Melodex application, website, branding, logos, underlying technology, AI models, algorithms, user interface design, and documentation ("Melodex IP") are owned exclusively by Melodex Studio or its licensors.

Nothing in these Terms grants you any right, title, or interest in Melodex IP, except for the limited right to use the Service as expressly set out in these Terms. You must not: Copy, reproduce, modify, or create derivative works based on Melodex IP without our prior written consent. Use our trademarks, logos, or branding in any manner that suggests endorsement or affiliation without our express written permission. Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Service.

12. Changes to the Service

We are constantly working to improve Melodex. We reserve the right to modify, add, or remove features and functionality at any time, with or without notice.

This includes, but is not limited to: Adding new AI models, instruments, or generation capabilities. Modifying or discontinuing existing features. Adjusting generation limits, export options, or storage quotas associated with different plan tiers. Updating the pricing of subscription plans (subject to the 30-day notice requirement in Section 7e). For major changes that significantly affect the core functionality of the Service — particularly changes that remove features you currently rely on — we will provide at least 14 days' advance notice via email and/or in-app notification, where practicable. We may also, at our discretion, discontinue the Service entirely. In the event of full discontinuation, we will provide at least 30 days' notice and will ensure you have the opportunity to export your projects before the Service is shut down.

13. Privacy

Your privacy matters to us. Our collection, use, and handling of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference and forms part of your agreement with us.

By using Melodex, you acknowledge that you have read and understood our Privacy Policy. Key highlights include: We do not sell your personal data to third parties. We do not use your creative content to train AI models. Audio processing happens locally on your device; raw audio is never sent to our servers. You have rights to access, correct, export, and delete your data. Our Privacy Policy is available within the application and at melodexstudio.com/privacy.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, the Service, applicable law, or for other legitimate business reasons.

When we make changes, we will: Update the "Effective Date" at the top of this document. Notify you of material changes by email and/or in-app notification at least 14 days before the updated Terms take effect. In the case of changes required by law, such changes may take effect immediately. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account in accordance with Section 8a.

15. Governing Law and Dispute Resolution

15a. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. If you are a consumer in the European Union, you may also benefit from any mandatory protections provided by the laws of your country of residence.

15b. Informal Resolution

We encourage you to contact us first if you have a dispute or concern. Most issues can be resolved quickly and informally. Please reach out to us at support@melodexstudio.com and give us 30 days to attempt to resolve the matter before initiating formal proceedings.

15c. Formal Dispute Resolution

If a dispute cannot be resolved informally, it shall be submitted to the exclusive jurisdiction of the courts of the State of Delaware. If you are an EU consumer, you may also submit a complaint to an approved Alternative Dispute Resolution (ADR) body or use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Melodex Studio with respect to the Service and supersede all prior agreements, understandings, or representations.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable from the remainder of the Terms, which will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Force Majeure

Melodex will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, government actions, cyberattacks, or third-party infrastructure failures.
